These Terms govern sourcebridgecommodities.com and related Website enquiries. By using the Website, you agree to these Terms. They do not themselves create a sale, purchase, brokerage, agency, distribution, representation, exclusivity, or commission arrangement.
In these Terms, “SourceBridge Commodities,” “we,” “us,” and “our” mean the business operation conducted under the SourceBridge Commodities name and the operator of this Website. Before any paid engagement begins or payment is accepted, the applicable proposal, order form, invoice, or signed agreement will identify the legal contracting provider, its jurisdiction and registration details, the authorized signatory, the approved payment recipient, and SourceBridge Commodities’ precise role.
Role and information
The Website presents general information concerning food, agricultural, FMCG, sourcing, supplier coordination, buyer development, and related commercial support. The precise role of SourceBridge Commodities in any opportunity will be stated in a separate written agreement. Unless expressly agreed in writing, SourceBridge Commodities is not the manufacturer, importer of record, exporter of record, carrier, insurer, warehouse operator, customs broker, or guarantor of either trading party.
No binding offer
Product descriptions, images, origins, grades, specifications, quantities, availability, lead times, indicative prices, freight estimates, duties, and market information are invitations to discuss only. They may change without notice and are not binding until confirmed in a signed transaction document by authorized parties.
Independent verification
Buyers and suppliers must conduct their own commercial, technical, regulatory, financial, sanctions, counterparty, product, facility, label, import, export, customs, tax, and insurance due diligence. Certificates, samples, inspection reports, laboratory results, and documents supplied by third parties must be independently reviewed. No statement replaces professional legal, customs, food-safety, tax, or regulatory advice.
Product and shipment risk
Agricultural and food products may vary by crop, lot, origin, storage, processing, packaging, and transport. Samples may not represent an entire shipment unless the signed contract states otherwise. Quality, tolerance, inspection, rejection, title, risk of loss, Incoterms, payment security, demurrage, detention, claims deadlines, and remedies must be defined in the applicable transaction contract.
Compliance
Users must comply with applicable anti-bribery, anti-corruption, sanctions, export-control, anti-money-laundering, food-safety, labelling, customs, competition, and trade laws. The Website may not be used to facilitate prohibited parties, destinations, goods, payments, misdescription, document fraud, or unlawful conduct.
Enquiries and authority
You confirm that information submitted is accurate and that you are authorized to act for the stated organization. An introduction, discussion, quotation request, or exchange of documents does not establish exclusivity, representation, agency, fiduciary duty, or a binding transaction.
Confidentiality and non-circumvention
Website use alone does not create confidentiality or non-circumvention obligations. Any such protection must be contained in a separately signed agreement identifying the protected parties, introductions, territory, duration, exclusions, fees, and remedies.
Intellectual property
Website content and brand materials are owned by or licensed to SourceBridge Commodities. They may not be copied, republished, or commercially exploited without permission. Third-party product names and marks remain the property of their respective owners and do not imply endorsement.
Third-party conduct
SourceBridge Commodities does not control independent buyers, sellers, manufacturers, carriers, inspectors, banks, insurers, warehouses, customs providers, or other intermediaries. To the extent permitted by law, it is not responsible for their solvency, misconduct, delay, non-performance, documentation, product quality, or regulatory compliance unless a signed agreement expressly states otherwise.
Disclaimer and liability
The Website is provided on an “as available” basis without guarantees of accuracy, availability, merchantability, fitness, transaction completion, buyer payment, supplier performance, product conformity, or market outcome. To the maximum extent permitted by law, liability for indirect, consequential, special, exemplary, or punitive losses arising solely from Website use is excluded. Aggregate liability for free Website use will not exceed USD 100, except where limitation is prohibited.
Contracting identity and transaction documents
Every commercial engagement must be documented separately before services begin or payment is accepted. The signed agreement must identify each legal contracting party, jurisdiction and registration details, authorized signatories, SourceBridge Commodities’ role, products, specifications, samples, price, currency, taxes, approved payment recipient, payment security, inspection, delivery term, title, risk, insurance, compliance, claims, liability, force majeure, governing law, and dispute resolution. Each party may verify the counterparty and authority of the signer before commitment. That agreement controls over these Website Terms.
Governing law
Unless mandatory law requires otherwise, these Website Terms are governed by Wyoming law, and Wyoming courts have non-exclusive jurisdiction over Website-only disputes. A transaction agreement may specify different law, arbitration, or forum.
Payment fraud prevention
Neither buyer nor supplier should rely on changed bank details, a changed beneficiary, an urgent payment request, or instructions received only through an unfamiliar email address, messaging account, or social-media profile. Any change must be independently confirmed through a previously verified contact channel and reflected in an authorized written transaction document. SourceBridge Commodities does not require a buyer to pay an introduced supplier before the buyer has received and accepted the supplier’s verified contractual and payment details.
